Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and IoT Connect Center ("we", "our", "us") governing your access to and use of our IoT connectivity platform, APIs, documentation, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Description of Services

IoT Connect Center provides enterprise IoT connectivity solutions, including:

  • Multi-protocol device onboarding and provisioning (MQTT, HTTP, CoAP, LwM2M, Modbus)
  • Protocol translation and message routing between devices and applications
  • Real-time device fleet monitoring, dashboards, and analytics
  • Automated alerting, rules engine, and event-driven workflows
  • Over-the-air (OTA) firmware update distribution and rollback
  • REST API access and third-party integration connectors
  • Security services including encryption, access control, and audit logging

The specific features and capacity available to you depend on your subscription plan and any custom connectivity agreements.

3. Account Registration and Responsibilities

To use the Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, API keys, and device certificates. You are responsible for all activity that occurs under your account, including actions by team members you authorize and devices you connect to the platform.

You agree to notify us immediately at support@iotconnect.center if you become aware of any unauthorized use of your account or security breach.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the connectivity platform to transmit malicious code, spam, or unauthorized data
  • Attempt to gain unauthorized access to other accounts, devices, or platform infrastructure
  • Exceed rate limits, abuse API endpoints, or engage in activities that degrade service quality for other customers
  • Reverse-engineer, decompile, or disassemble any part of the platform
  • Use the Services in violation of any applicable law, regulation, or third-party rights
  • Resell or redistribute access to the Services without our prior written consent

5. Device Data and Ownership

You retain ownership of all data transmitted by your devices through our platform ("Customer Data"). We do not claim ownership of Customer Data. We process Customer Data solely to provide the connectivity services you have configured, including protocol translation, telemetry routing, storage, alerting, and analytics.

You grant us a limited, non-exclusive license to process Customer Data as necessary to operate, maintain, and improve the Services. We will not access Customer Data except as required to deliver the Services, provide support at your request, or comply with legal obligations.

6. Service Level and Availability

We strive to maintain high availability for our connectivity infrastructure. Specific uptime commitments, latency targets, and support response times are defined in the Service Level Agreement (SLA) associated with your subscription plan. SLA credits, if applicable, are governed by the terms of your specific agreement.

We reserve the right to perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice when necessary to protect platform security or stability.

7. Fees and Payment

Fees for the Services are based on your subscription plan and may include charges for connected devices, data throughput, API calls, storage, and premium features. All fees are specified in your order form or subscription agreement.

Invoices are issued according to the billing cycle in your agreement. Late payments may result in service suspension after written notice and a reasonable cure period. All fees are non-refundable except as explicitly stated in your agreement or required by law.

8. Intellectual Property

The IoT Connect Center platform, including all software, APIs, documentation, protocols, user interfaces, and underlying technology, is owned by IoT Connect Center and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

Any feedback, suggestions, or improvement ideas you provide regarding the Services may be used by us without obligation or compensation.

9. Third-Party Integrations

The Services may integrate with third-party platforms (e.g., AWS IoT, Azure IoT Hub, Google Cloud IoT, webhook endpoints, notification services). Your use of third-party integrations is subject to those providers' terms and policies. We are not responsible for the availability, accuracy, or security practices of third-party services.

10. Suspension and Termination

We may suspend or restrict access to the Services if we reasonably believe that your use violates these Terms, poses a security risk, or may create liability for us or other customers. We will provide notice when possible and work with you to resolve the issue.

Either party may terminate the agreement with written notice as specified in your subscription agreement. Upon termination, you may request an export of your Customer Data within 30 days. After this period, we may delete your data in accordance with our data retention policies.

11. Limitation of Liability

To the maximum extent permitted by law, IoT Connect Center shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or cost of replacement services, arising from or related to your use of the Services.

Our total aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by you to IoT Connect Center in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless IoT Connect Center and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of a mutually agreed arbitration body.

15. Changes to These Terms

We may modify these Terms at any time. We will provide at least 30 days' written notice of material changes via email or a notice on the platform. Your continued use of the Services after the effective date of changes constitutes acceptance. If you do not agree with the modified Terms, you may terminate your account before the changes take effect.

16. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver. These Terms, together with your subscription agreement and SLA, constitute the entire agreement between you and IoT Connect Center regarding the Services.
